Noble Land Ventures, LLC believes landowners should understand who they are dealing with, what role the company is playing, and how a proposed transaction may be structured. The following disclosures are provided to promote clarity, transparency, and informed decision-making.

Principal Land Acquisition and Investment Company

Noble Land Ventures, LLC is a principal land acquisition and investment company. In direct investor, seller-financed, or structured sale option transactions, Noble Land Ventures, LLC is not acting as a real estate brokerage, listing broker, buyer broker, agent, fiduciary, or representative of a property owner unless a separate written brokerage relationship exists through a properly licensed brokerage.

Licensed Real Estate Professionals

One or more members, managers, officers, representatives, or affiliated persons of Noble Land Ventures, LLC are licensed real estate professionals and have, may have, or may acquire an ownership, management, financial, or other beneficial interest in Noble Land Ventures, LLC.

This disclosure is made to promote transparency and should not be interpreted as creating a brokerage relationship with Noble Land Ventures, LLC.

Brokerage Services Are Separate

Traditional real estate brokerage services are separate from Noble Land Ventures, LLC and must be handled through the appropriate licensed real estate brokerage relationship.

A traditional brokerage relationship requires separate written brokerage documents, agency disclosures, and a contractual relationship between the seller or landowner and the licensed brokerage.

Company May Profit as Principal

Noble Land Ventures, LLC may acquire, option, assign, transfer, novate, finance, improve, resell, or otherwise profit from land, land contracts, seller-financed transactions, installment agreements, and land-related contractual or equitable interests.

The company may earn a profit through direct acquisition, resale, assignment, transfer, novation, buyer substitution, seller financing, installment structures, land contracts, improvement strategies, or other lawful transaction structures.

Direct Investor Option May Differ From Market Listing

A direct investor transaction may result in a lower price than a traditional brokerage listing or full public market exposure.

Some landowners choose a direct investor option because they value speed, privacy, flexibility, simplicity, structured payments, limited public exposure, or a direct transaction with a principal buyer or investor.

Seller Financing and Structured Sale Disclosures

Noble Land Ventures, LLC may consider seller financing, land contracts, contract-for-deed structures, installment sale agreements, purchase-money mortgages, seller-held notes, deferred payment structures, option agreements, or other structured acquisition methods.

Seller financing and structured sale arrangements involve legal, tax, financial, title, default, recording, and payment considerations. Landowners should seek independent legal, tax, financial, and title advice before signing any seller-financed or structured sale agreement.

Assignment, Transfer, and Novation Disclosures

Noble Land Ventures, LLC may seek to assign, transfer, novate, substitute a buyer, resell, or otherwise dispose of the company’s contractual, equitable, option, ownership, or other land-related interest.

If Noble Land Ventures, LLC has not yet taken title to a property, the company should not be understood to be the legal owner of record unless otherwise stated in writing.

Land-Only and Residential 1–4 Property Classification

Noble Land Ventures, LLC primarily focuses on land transactions, including vacant land, rural acreage, recreational land, hunting land, timberland, agricultural land, development land, transitional land, and other land-related opportunities.

If a property contains or appears to contain one to four residential dwelling units, or if the property is materially improved by residential structures, additional disclosures, compliance review, and state-specific requirements may apply.

Pennsylvania Residential Wholesale Transaction Notice

In Pennsylvania, residential wholesale transactions may be subject to Pennsylvania Act 52 of 2024 and related provisions of the Pennsylvania Real Estate Licensing and Registration Act.

Where applicable, Pennsylvania residential wholesale transactions may require written disclosures, consumer cancellation-right language, licensee disclosures, refund procedures, and other transaction-specific compliance documentation.

Maryland Residential Wholesale Transaction Notice

In Maryland, certain residential property transactions involving assignable contracts or contract assignments may be subject to Maryland residential wholesale disclosure requirements.

Where applicable, a wholesale buyer may be required to disclose in writing to the owner of residential property that the wholesale buyer may assign the contract of sale to another person. A wholesale seller may also be required to disclose in writing to a prospective assignee that the wholesale seller holds an equitable interest in the property and may not be able to convey title to the property.

West Virginia Transaction Notice

West Virginia does not currently have an enacted residential wholesale transaction law directly comparable to Pennsylvania Act 52 or Maryland’s residential wholesale disclosure statute. However, West Virginia transactions may still be subject to general real estate license laws, contract law, consumer protection laws, advertising rules, title requirements, brokerage restrictions, and other applicable legal or regulatory requirements.

State-Specific Compliance Review

Noble Land Ventures, LLC reviews each opportunity based on the property type, state, transaction structure, intended use, and applicable legal requirements.

If a property contains or appears to contain one to four residential dwelling units, or if a transaction involves assignment, transfer, novation, buyer substitution, seller financing, installment sale terms, land contract terms, or other structured terms, additional disclosures and compliance review may apply.
