Maryland Wholesale Transaction Notice

Noble Land Ventures, LLC primarily focuses on land acquisition and investment transactions. However, certain Maryland properties may involve residential property, assignable contracts, contract transfers, buyer substitutions, equitable interests, or other transaction structures that may trigger Maryland residential wholesale transaction disclosure requirements.

Maryland Residential Wholesale Transactions

Maryland law includes disclosure requirements for certain residential property transactions involving wholesale buyers and wholesale sellers.

These requirements generally apply when a party enters into a contract of sale for residential property and the contract may be assigned to another person.

Wholesale Buyer Disclosure to Property Owner

Before entering into a contract of sale for residential property, a wholesale buyer may be required to disclose in writing to the owner of the property that the wholesale buyer may assign the contract of sale to another person.

Wholesale Seller Disclosure to Prospective Assignee

Before assigning a contract of sale for residential property, a wholesale seller may be required to disclose in writing to a prospective assignee that the wholesale seller holds an equitable interest in the property and may not be able to convey title to the property.

Rescission Rights

If required notice is not provided, Maryland law may allow the owner of residential property to rescind the contract of sale without penalty at any time before closing if the wholesale buyer assigns the contract of sale.

Maryland law may also allow an assignee to rescind the agreement to purchase under the assigned contract of sale without penalty at any time before closing if the required notice is not provided.

This Maryland notice is intended to address residential property wholesale disclosure issues.

Noble Land Ventures, LLC primarily focuses on land transactions, including vacant land, rural acreage, recreational land, hunting land, timberland, agricultural land, development land, transitional land, and land-related interests.

If a Maryland property contains or appears to contain residential improvements, or if a transaction involves assignment, transfer, buyer substitution, equitable interest, seller financing, installment sale terms, land contract terms, or other structured terms, additional legal review and written disclosures may apply.

Licensed Real Estate Professional Disclosure

One or more members, managers, officers, representatives, or affiliated persons of Noble Land Ventures, LLC are licensed real estate professionals and have, may have, or may acquire an ownership, management, financial, or other beneficial interest in Noble Land Ventures, LLC.

This disclosure is made to promote transparency and should not be interpreted as creating a brokerage relationship with Noble Land Ventures, LLC.

Brokerage Separation

Noble Land Ventures, LLC is a principal land acquisition and investment company and is separate from traditional real estate brokerage services.

Any traditional brokerage listing, representation, or agency relationship must be established separately through a licensed real estate brokerage relationship, written brokerage agreement, and applicable agency disclosures.

Company May Profit as Principal

Noble Land Ventures, LLC may acquire, option, assign, transfer, finance, improve, resell, or otherwise profit from land, residential property contracts, seller-financed transactions, installment agreements, and land-related contractual or equitable interests.

In direct investor transactions, Noble Land Ventures, LLC acts as a principal buyer/investor and not as the property owner’s real estate broker, agent, or fiduciary unless a separate written brokerage relationship is established through a properly licensed brokerage.

Maryland residential property transactions, assignment structures, seller financing, land contracts, installment agreements, and other structured transactions may involve legal, tax, financial, title, valuation, recording, default-risk, and compliance considerations.

Property owners, buyers, sellers, assignees, substitute buyers, and other parties are encouraged to seek independent legal, tax, financial, appraisal, valuation, title, and real estate advice before entering into any agreement.
